The National Stock Exchange (NSE) is considering a reduction in its long-awaited NSE IPO size, potentially bringing the offering down to around ₹25,000-27,000 crore from the earlier estimate of ₹30,000 crore, according to people familiar with the development.

Why the IPO Size Could Shrink
The reduction stems from the Offer for Sale (OFS) component being scaled back to around 5.2-5.5% of NSE’s equity, compared with the 6% proposed earlier — equivalent to roughly 148.9 million shares in the original draft papers. According to people familiar with the matter, the change is being driven by some existing shareholders reconsidering their participation, as they believe their stakes could fetch a better valuation if sold at a later stage. NSE is also looking to make the issue more accessible to retail investors, with pricing structured to encourage greater participation from smaller investors. The IPO price band is expected to be in the range of ₹1,700-1,785 per share, against an earlier estimate of around ₹2,000 per share.
Could Miss the ‘Largest IPO’ Record
At the reduced size, NSE may narrowly miss becoming India’s largest-ever initial public offering. Hyundai Motor India currently holds that record, having raised ₹27,870 crore through its public issue in October 2024. If NSE’s issue size falls below that threshold, Hyundai will retain the title — at least until Reliance Industries’ digital arm, Jio Platforms, launches its own offering, estimated at around ₹37,700 crore, possibly around Navratri or Diwali.
Regulatory Journey
The development follows SEBI’s clearance for NSE to proceed with its IPO on September 4, moving the exchange closer to a listing after a wait of nearly a decade. NSE had filed its draft prospectus with the regulator in June, though the approval process took longer after SBI Capital Markets was added to the list of selling shareholders, triggering a fresh 21-day public feedback period on the revised documents.
Expected Timeline
NSE is reportedly aiming to launch the IPO in the third week of September and list in the fourth week, with the exchange looking to complete the entire process before the start of the Shradh (Pitru Paksha) period. Shares of NSE were trading at around ₹2,045 in the unlisted market as of Tuesday evening.
